TERMS OF USE
The mission of Pets Pharma is to improve people’s lives through learning. We believe our e-learning model is the best way to offer valuable educational content to our users. We need rules that keep our platform and services safe for you, for us, for our students, and for our instructor community. These Terms apply to all activities you engage in on the Pets Pharma website and all other related services (“Services”).
If you reside in Mexico and agree to these Terms, you agree to resolve any disputes with Pets Pharma through binding arbitration (with very limited exceptions, not in court). Additionally, you waive certain rights to participate in class actions, as described in the Dispute Resolution section.
1. Accounts
You need an account for most activities on our platform. Keep your password secure because you are responsible for all activities associated with your account. If you suspect someone is using your account, notify us by contacting our Support Team. To use Pets Pharma, you must be of the legal age required to use online services in your country.
You need an account for most platform activities, including enrolling in a course. When creating and maintaining your account, you must always provide accurate and complete information, including a valid email address. You are fully responsible for your account and anything that happens on it, including any harm or damage caused to us or others by someone using your account without your permission. This means you must take care of your password. You may not transfer your account to someone else or use someone else’s account. If you contact us to request access to an account, we won’t grant it unless you can provide the necessary proof of ownership. If a user dies, their account will be closed.
If you share your login credentials with another person, you will be fully responsible for what happens with your account, and Pets Pharma will not intervene in disputes between students and instructors who shared login credentials. If you discover that someone else may be using your account without permission or suspect any other security breach, you must immediately contact the Support Team and notify us. We may ask for specific information to confirm that you are the actual account owner.
Students and instructors must be at least 18 years old to create an account on Pets Pharma and use the Services. If you are not of legal age, you cannot create an account, but we encourage you to ask a parent or guardian to open an account and help you enroll in suitable courses. If you are not old enough to use online services (for example, under 13 in the U.S. or under 16 in Ireland), you cannot create a Pets Pharma account. If we discover you have created an account underage, we will terminate it. According to our Instructor Terms, we may require you to verify your identity before you are authorized to submit a course for publication on Pets Pharma.
You may cancel your account at any time.
2. Course Enrollment
When you enroll in a course, we provide you with a license to view it through the Pets Pharma Services, but for no other use. Do not attempt to transfer or resell courses in any way.
In legal terms and more specifically, Vets Pharma grants you (as a student) a limited, non-transferable, and non-exclusive license to access and view courses and related content for which you have paid all required fees, solely for your personal, non-commercial, educational use, and only through the Services, in accordance with these Terms and any conditions or restrictions related to the specific course or feature. All other uses are strictly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works from, sublicense, or otherwise transfer any course unless you receive our explicit written permission from an authorized Pets Pharma representative. This also applies to content accessed through our APIs.
We reserve the right to revoke any license to access and use courses at any time if we determine or are required to disable access for legal or policy reasons, for example, if the course is subject to a copyright complaint or violates our Trust & Safety Guidelines.
Instructors do not grant licenses directly to students, and any such direct licenses will be void and considered a violation of these Terms.
3. Content and Behavior Rules
You may only use Pets Pharma for lawful purposes. You are responsible for all content you post on our platform. Your reviews, questions, posts, courses, and any other content you upload must comply with our Trust and Safety Guidelines and applicable law, and must respect the intellectual property rights of others. We may suspend or ban your account for repeated or serious offenses. If you believe someone is infringing your copyright on our platform, please notify us.
You may not access or use our Services, or create an account, for unlawful purposes. Your use of the Services and behavior on our platform must comply with local or national laws and regulations. You are solely responsible for knowing and complying with the laws that apply to you.
Pets Pharma may enforce these Terms and our Trust and Safety Guidelines at our sole discretion. We may suspend or terminate your permission to use our platform and Services, or ban your account at any time, with or without prior notice, for the following reasons: a violation of these Terms, failure to pay due fees, requests from law enforcement or government agencies, extended periods of inactivity, unexpected technical issues, suspected fraudulent or illegal activity, or any other reason at our sole discretion. Upon such termination, we may delete your account and content and prevent you from accessing our platform and Services. Your content may still remain visible on the platform even after your account is deactivated or suspended. You agree that we are not liable to you or any third party for the termination of your account, removal of your content, or loss of access to our platform and Services.
4. Pets Pharma’s Rights
We own the Pets Pharma platform and Services, including the website, current and future services and apps, and elements such as our logos, APIs, code, and content created by our employees. You may not tamper with or use these elements without authorization.
All rights, title, and interest in the Pets Pharma platform and Services—including our website, services, current and future applications, APIs, databases, and the content provided by our employees or partners (excluding instructor and student-provided content)—are and will remain the property of Pets Pharma and its licensors. Our platform and services are protected by copyright, trademark, and other intellectual property laws in Mexico and other countries. Nothing gives you the right to use the Pets Pharma name or any trademarks, logos, domain names, or other brand features. Any feedback or suggestions you provide regarding Vets Pharma or the Services are entirely voluntary, and we are free to use them as we see fit, without any obligation to you.
You may not do any of the following while accessing or using the Pets Pharma platform and Services:
- Access, tamper with, or use non-public areas of the platform (including content storage), Pets Pharma’s computer systems, or the technical delivery systems of Pets Pharma’s service providers.
- Disable, interfere with, or try to circumvent any security features of the platform, or probe, scan, or test the vulnerability of our systems.
- Copy, modify, create derivative works from, reverse engineer, disassemble, or otherwise attempt to discover any source code or content of the platform or Services.
- Access or search (or attempt to do so) our platform by any means other than our currently available search functionalities via the website, mobile apps, or API (and only in accordance with applicable API terms). You may not use data scraping, spiders, robots, or any other automated means to access the Services.
- Use the Services to send false, misleading, or manipulated source-identifying information (e.g., emails falsely appearing to be from Pets Pharma); or interfere with or disrupt (or attempt to do so) any user, host, or network, including, but not limited to, sending viruses, overloading, spamming, or mail-bombing the platform or Services, or otherwise interfering or placing an undue burden on the Services.
5. Other Legal Terms
These Terms are like any contract and include important legal terms that clarify our relationship and protect us from the many things that could go wrong.
5.1 Binding Agreement
By registering, accessing, or using our Services, you agree to enter into a legally binding contract with Pets Pharma. If you do not agree to these Terms, do not register, access, or use our Services.
If you are an instructor using our Services on behalf of a company, organization, government, or other legal entity, you represent that you have the authority to bind that entity.
Any version of these Terms in a language other than Spanish is provided for convenience. The Spanish version will prevail in the event of any discrepancies.
These Terms (including all agreements and policies linked to them) constitute the entire agreement between you and us (including, for instructors, the Instructor Terms and Promotions Policy).
If any provision of these Terms is held to be invalid or unenforceable under applicable law, that provision shall be replaced with a valid one that best reflects the original intent, and the rest of the Terms will remain effective.
Even if we delay or do not enforce our rights in some instances, it does not mean we waive them. If we waive a specific right in a particular instance, it does not mean we waive it generally or in the future.
The following sections shall survive the termination of these Terms: Section 2 (Enrollment and Lifetime Access), Section 5 (Pets Pharma’s Rights), Section 6 (Dispute Resolution), and Section 7 (Legal Terms).
5.2 Disclaimers
Our platform may occasionally be unavailable due to planned maintenance or technical issues. Instructors may make misleading claims in their courses. Security issues may arise. These are just a few examples. You agree not to take legal action against us if such problems occur or things do not go as expected.
In legal terms, the Services and their content are provided “as is” and “as available.” We (and our affiliates, suppliers, partners, and agents) make no representations or warranties about the suitability, reliability, availability, timeliness, security, lack of errors, or accuracy of the Services or their content. We expressly disclaim all warranties and conditions (express or implied), including merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee specific results from the use of the Services. You use the Services (including content) entirely at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
We may decide at any time and for any reason to discontinue certain features of the Services. Under no circumstances shall Pets Pharma or its affiliates, suppliers, partners, or agents be liable for any damages arising from such interruptions or the unavailability of those features.
We are not liable for delays or failures in performance of any Services due to events beyond our reasonable control, such as acts of war, hostility, sabotage, natural disasters, power outages, internet or telecommunication disruptions, or government restrictions.
5.3 Limitation of Liability
Using our Services carries inherent risks—e.g., if you enroll in a wellness course like yoga and get injured. You fully accept these risks and agree not to bring legal claims against us, even if you suffer loss or damage from using our platform and Services.
To the extent permitted by law, we (and our group companies, suppliers, partners, and agents) shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether arising under contract, warranty, tort, product liability, or any other legal theory, even if we have been advised of the possibility of such damages.
5.4 Indemnification
If your actions result in legal issues for us, we may take legal action against you. You agree to indemnify, defend (if we request it), and hold harmless Pets Pharma, its officers, directors, suppliers, partners, and agents from third-party claims, losses, or expenses (including reasonable attorney fees) arising from: (a) content you post or submit; (b) your use of the Services; (c) your breach of these Terms; or (d) your violation of any third party’s rights.
Your indemnification obligations will survive the termination of these Terms and your use of the Services.
5.5 Governing Law and Jurisdiction
When we refer to “Pets Pharma” in these Terms, we mean the Pets Pharma entity you are contracting with. If you are a student, the governing entity and applicable law will generally depend on your place of residence.
5.6 Legal Actions and Notices
No party may bring an action related to this Agreement more than three (3) months after the cause of action arose, unless prohibited by law.
All notices must be in writing and delivered either by certified mail with return receipt or by email. We will use the email address associated with your account, and you must use esantiago@kironmexico.com.
5.7 Relationship Between Us
You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.
5.8 No Assignment
You may not assign or transfer these Terms (or the rights and licenses granted under them). For example, if you created your account as a company employee, it cannot be transferred to another employee. We may assign these Terms (or our rights and licenses under them) to another company or person without restriction. Nothing in these Terms confers any rights, benefits, or remedies on any third party. You agree that your account is non-transferable and all rights to it terminate upon your death.
6. Dispute Resolution
If a dispute arises, our Support Team is happy to help resolve it. You may not bring a claim in another court or participate in a non-individual class action against us.
This Dispute Resolution section applies only if you live in Mexico. Most disputes can be resolved, so please try contacting our Support Team before starting a legal process.
6.1 Small Claims Court
You or we may bring a claim in small claims court in (a) Mexico City, (b) your country of residence, or (c) any other location we mutually agree upon, provided the court has jurisdiction.
6.2 Arbitration
If we cannot resolve our dispute amicably, you and Pets Pharma agree to resolve any claim related to these Terms (or other legal terms) through final and binding arbitration, regardless of the claim type or legal theory. If one of us brings a claim in court that should be arbitrated, the other may ask the court to require arbitration. Either party may also request a court to pause court proceedings while arbitration is pending.
6.3 Arbitration Process
Arbitration will be governed by the AAA’s commercial arbitration rules, consumer due process protocol, and supplementary consumer dispute resolution procedures. You and we agree that the following rules apply: (a) Arbitration will be conducted by phone, online, or only through written submissions (as selected by the party seeking relief); (b) No in-person appearances are required unless mutually agreed; (c) The arbitrator’s decision may be submitted to any court with jurisdiction.
6.4 No Class Actions
You and we agree that we may only bring claims against each other individually. That means: (a) neither party may bring a claim as a plaintiff or class member in a class, consolidated, or representative action; (b) an arbitrator may not combine multiple people’s claims into one case or preside over any consolidated, class, or representative action; (c) an arbitrator’s decision or award may only affect the individual involved and cannot be used to decide the disputes of others.
If a court finds this clause (“No Class Actions”) to be unenforceable or invalid, the Dispute Resolution section shall be void, but the rest of the Terms will remain in effect.
6.5 Changes
Notwithstanding the “Updating These Terms” section below, if Pets Pharma makes any changes to this “Dispute Resolution” section after you accepted these Terms, you may reject those changes by sending written notice (via email from your account email address) to esantiago@kironmexico.com within 30 days of the change’s effective date (as indicated in the “last updated” note). Your notice must include your full name and a clear statement that you reject the changes to the “Dispute Resolution” section. By rejecting the changes, you agree to arbitrate any dispute with Pets Pharma in accordance with the earlier version of the section you accepted.
7. Updating These Terms
From time to time, we may update these Terms to clarify our practices or reflect new or different practices (such as when we add new features), and Pets Pharma reserves the right to modify or make changes to these Terms at any time, at its sole discretion. If we make material changes, we will notify you by a prominent method—e.g., email or a notice on our Services. Unless otherwise stated, changes will become effective on the day they are posted.
By continuing to use the Services after the effective date of any changes, you confirm your acceptance of those changes. The revised Terms will supersede all prior Terms.
